You must be at least 18 years of age and legally capable of entering into a binding agreement to use the Services.

Phoenix Infin.Pay provides technology infrastructure for metered billing, action tracking, digital commerce, subscriptions, API monetization, usage-based billing, analytics, and related services.

Phoenix Infin.Pay is a technology platform only. Phoenix Infin.Pay is not:

• A bank
• A money transmitter
• An investment advisor
• A broker-dealer
• An insurance company
• A legal advisor
• A tax advisor
• A fiduciary

Users remain responsible for their own business, financial, legal, tax, and regulatory compliance.

You are responsible for maintaining account security, protecting passwords and credentials, and all activity occurring under your account. You must immediately notify us of unauthorized account access.

You agree not to use Phoenix Infin.Pay for illegal activities, fraud, money laundering, terrorist financing, spam, malware, copyright infringement, unauthorized access to systems, or harmful or deceptive practices. Phoenix Infin.Pay reserves the right to suspend or terminate accounts that violate these Terms.

Certain Services may require payment. Fees may be based on usage, transactions, actions, subscriptions, API consumption, reports, or platform access. Users are responsible for reviewing applicable pricing before initiating billable actions.

ALL SALES ARE FINAL. All purchases, subscriptions, usage charges, action-based charges, API usage fees, platform access fees, digital services, and electronically delivered services are non-refundable. Failure to use purchased services does not create a right to a refund. Phoenix Infin.Pay reserves the right to correct billing errors, duplicate charges, or fraudulent transactions at its sole discretion.

All content, trademarks, software, logos, branding, and technology associated with Phoenix Infin.Pay remain the exclusive property of Phoenix Infin.Pay unless otherwise stated. No rights are granted except those expressly provided under these Terms.

Phoenix Infin.Pay may integrate with third-party platforms and providers. We are not responsible for third-party services, websites, content, or payment providers. Your use of third-party services is governed by their own terms and policies.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." Phoenix Infin.Pay DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee continuous availability, error-free operation, specific financial results, business outcomes, or revenue generation.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Phoenix Infin.Pay SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO Phoenix Infin.Pay DURING THE PREVIOUS TWELVE MONTHS.

You agree to indemnify and hold harmless Phoenix Infin.Pay, its owners, officers, employees, contractors, and affiliates from any claims arising from your use of the Services.

We may suspend or terminate access to the Services at any time for any reason, including violation of these Terms.

These Terms shall be governed by the laws of the State of Texas, United States.

Phoenix Infin.Pay may update these Terms at any time. Continued use of the Services constitutes acceptance of updated Terms.
